A Deed of Assignment is a formal legal document used to transfer existing contractual rights from one party to another. In property development finance UK transactions, it commonly allows a lender or developer to assign their interest—such as payment rights, development proceeds, or entitlements—to a third party, typically another funder or security agent. This deed must be executed as a deed and signed by all relevant parties to be legally enforceable. It is often used in tandem with security packages, funder step-in rights, or syndicated lending arrangements in development projects.

In practice, a Deed of Assignment is frequently used where funding arrangements evolve during the lifecycle of a development, allowing rights and benefits under existing agreements to be transferred without creating entirely new contractual structures. It often forms part of a wider Contractual Agreement framework, particularly where lenders participate in syndications, security interests are transferred between funders, or a security agent acts on behalf of multiple stakeholders. Developers may also encounter assignment provisions when ownership of financing positions changes or when project cash flows are redirected to satisfy funding obligations. Although distinct from capital structuring decisions, assignment mechanics can operate alongside arrangements involving Conversion to LP Equity where investor rights and interests require formal legal transfer.
