Assignment by Lender refers to the transfer of a lender’s rights and interests—such as repayment entitlements, charges, or collateral rights—under a property development finance agreement to a third party. This typically occurs when a loan is sold, restructured, or moved into a syndicated facility. The assignment is executed via a Deed of Assignment and is subject to borrower notification or consent depending on contract terms. It is an important mechanism in the secondary lending market and ensures that obligations remain enforceable under new ownership while maintaining continuity in funding arrangements.
In practice, an Assignment by Lender is frequently seen where development loans are traded between institutions, transferred within lending groups, or introduced into wider funding structures. Although governed by the underlying Contractual Agreement, the process is typically formalised through a Deed of Assignment, which records the transfer of rights while preserving the lender’s security position. For developers, the assignment generally does not alter repayment obligations or project covenants, but it may change the party entitled to enforce them. This is particularly relevant where facilities are secured by Senior Debt 1st Charge, as maintaining continuity of security and enforcement rights remains essential throughout the life of the development facility.
