A Security Financial Collateral Agreement is a legal arrangement under the Financial Collateral Arrangements (No. 2) Regulations 2003, allowing a lender to take possession or ownership of financial collateral—such as cash, shares, or bonds—without needing a court order. Common in larger property development finance structures, it provides quicker enforcement and protection for lenders against borrower insolvency. This type of agreement is particularly relevant where cash deposits or securities are used as part of the funding security package for UK property developments.

In practice, a Security Financial Collateral Arrangement is most often encountered in larger or more sophisticated funding structures where speed of enforcement is a key consideration for lenders. By allowing qualifying financial assets to be realised outside many of the formal procedures associated with traditional security enforcement, the arrangement can reduce recovery risk and strengthen a lender’s overall security position. For property developers, this may arise where cash reserves, retention accounts, investment holdings, or other financial instruments form part of the wider funding package. The arrangement therefore operates alongside broader Securities and Collateral provisions, helping lenders preserve value and maintain control if a borrower defaults or enters an insolvency process.
