A Special Purpose Vehicle (SPV) is a limited company created specifically to undertake a single property development project. In UK property development finance, SPVs are commonly used to ring-fence project liabilities, simplify joint venture structuring, and streamline financing. The SPV owns the development site, enters into funding agreements, and contracts with professional teams. This structure limits risk exposure for the parent company or shareholders and provides lenders with clarity over project assets and liabilities. SPVs are standard practice in both residential and commercial development, particularly where external funding or multiple stakeholders are involved.
In practice, lenders and investors often require a development project to be held within an SPV because it creates a clear legal and financial boundary around the scheme. As a result, the SPV typically acts as the Borrower, entering into facility agreements, granting security over project assets, and receiving development funding. This structure can simplify due diligence, improve transparency of cash flows, and make it easier to monitor project performance throughout the funding cycle. SPVs are also widely used where equity participation is involved, including structures linked to Fractionalised Equity per £1,000 Stake, allowing ownership interests and investor rights to be managed within a dedicated corporate vehicle.
