Co-GP equity refers to the ownership stake taken by co-general partners—typically experienced developers, sponsors, or specialist firms who invest capital alongside the lead developer. Unlike passive equity investors, Co-GP participants share in both the risk and the decision-making process. This type of common equity is often used in UK property development finance when partners wish to pool resources, share fees, and increase access to institutional or high-net-worth capital. Co-GP equity holders contribute strategic input, assume joint liability, and are entitled to a share of both profits and management responsibilities, making it a collaborative tool for structuring development projects.

Within the capital structure, Co-GP equity sits firmly in the Common Equity layer, sharing full exposure to development risk while also participating in upside returns. Its positioning aligns closely with Sponsor / Promote Carry, although Co-GP investors typically commit actual capital rather than relying solely on performance-based incentives. In practice, these arrangements are formalised through detailed agreements with each Joint Venture Partner, setting out governance, voting rights, profit splits, and exit mechanisms. This structure enables developers to scale projects, align interests across parties, and strengthen credibility when engaging with senior lenders or institutional funding sources.
