Equal Share of Profits and Losses

Equal Share of Profits and Losses is a basic equity arrangement in property development finance where all common equity investors receive the same percentage of profits or absorb the same percentage of losses, regardless of role or capital contribution timing. This is common in straight equity structures for UK development projects involving joint ventures or private investors. The simplicity of equal participation appeals to developers looking for aligned incentives, although it may lack flexibility for more complex or tiered investment needs often seen in institutional funding arrangements.

Within a Straight Common Equity structure, this approach creates a uniform economic outcome for investors, simplifying distribution mechanics but potentially overlooking differences in capital risk or strategic input. It often sits alongside No-Preferred Return, as both frameworks avoid prioritising any investor class, reinforcing equal footing across the equity pool. In practice, the arrangement is formalised through legal documentation such as Undertakings, ensuring all parties adhere to agreed profit and loss sharing terms. Developers and investors typically assess whether this structure remains appropriate by reference to performance indicators like the Project Viability Index, particularly where project risk or timing dynamics evolve.
