A novation agreement is a tripartite legal document that replaces one party to an existing contract with a new party, transferring all rights and obligations to the incoming entity. In UK property development finance, novation is frequently used when transferring construction or funding agreements between SPVs, joint ventures, or new investors. Unlike assignment, novation requires the consent of all original parties and fully substitutes contractual responsibility. It is commonly employed during refinancing, asset disposal, or development restructuring stages to maintain continuity of obligations under revised financial arrangements.

In practice, a novation agreement often becomes relevant where development assets, contractual obligations, or funding structures are transferred during a transaction lifecycle. As a form of Contractual Agreement, it enables lenders, developers, contractors, and investors to preserve commercial continuity while formally substituting one party for another. It is frequently compared with a Deed of Assignment, although assignment typically transfers rights without transferring all underlying obligations. Novation is particularly common during a Refinance Loan transaction, where existing contractual relationships must remain enforceable despite changes to ownership structures, borrowing entities, or project-level funding arrangements.
